TENNESSEE SELLER RECORDS
File a Final Tennessee Franchise and Excise Tax Return
A business sale does not automatically end a company or its Tennessee filing duties. Decide with your accountant whether the taxpayer is continuing, winding down or ready for a final return.

Check whether final really applies
An entity that remains registered or keeps business or financial activity may still have obligations. A quiet bank account or a completed asset sale is not enough to assume those duties end. See Memphis Business Brokers Team for sale guidance.
Have your accountant review the remaining assets, debts and planned activity before choosing the final return treatment.
Coordinate the return and entity records
When a final return is appropriate, identify it as final under current Department of Revenue instructions. Resolve outstanding tax matters as part of the account review.
If tax clearance is needed for an entity termination filing, coordinate the Revenue and Secretary of State steps. Do not treat an ordinary account closure as a substitute for the required entity paperwork.
Follow through after the sale
Save confirmations and continue reviewing correspondence. A missing final indicator or an unresolved assessment can leave the account expecting additional filings.
Give your accountant a complete post-sale picture. Sale proceeds, remaining receivables and liquidation activity can matter to the final reporting work.
